	RENTALO.COM AFFILIATE PROGRAM LEGAL AGREEMENT Legal Agreement This Agreement encloses the general terms and conditions that apply to an individual's or entity's participation in the Rentalo.com Affiliate Marketing Program. Enrollment Policy In order to enroll in Rentalo.comÃ¢Â€Â™s Affiliate Marketing Program you are required to submit a program application via Rentalo.com. We will assess your application and notify you of your acceptance or rejection to the program. Rentalo.com reserves the right to reject your application at its own discretion. Your application may be rejected due mainly but not only to the following reasons: Your site is unsuitable because: 1. Promotes in any way or links to sites that promote illegal activities. 2. Promotes in any way or links to sites that promote sexually explicit materials. 3. Promotes in any way or links to sites that promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age. 4. Promotes in any way or links to sites that promote violence. 5. Otherwise violates intellectual property rights. Please note that if your application is accepted but subsequently we determine that your site is not suitable for the program we can at any time and without notice terminate this agreement. If your application is rejected you may reapply at any time. Links on ApplicantÃ¢Â€Â™s Site All links, banners and related material to perform as an affiliate of Rentalo.com will be provided by Rentalo.com. You are responsible for the placement of the links to Rentalo.com on your site. You may not alter in any way any of the banners, buttons, and graphics or text links provided by Rentalo.com. You may add or delete any approved graphics, text links or related material to your site at any time. Rentalo.com will use its affiliate software to track all leads or sales placed on RentaloÃ¢Â€Â™s site. Rentalo will keep an account of leads subject to this agreement and should deliver a report containing the number of leads or sales originated from your website. You will only earn fees with respect to the approved leads or sales occurring directly through those links to our site placed on your site or newsletter in conformance to this agreement. Processing Rentalo.com will track all lead or sale submissions by visitors placed on our site from your site. Rentalo.com reserves the right to reject leads or sales that do not comply with our requirements. Rentalo.com will be responsible of all aspects of customer service and fulfillment. Referral Fees (1) Pay per Inquiry Program: You will earn $1 for every traveler that you refer to us that submits a destination inquiry. Ã¢Â€Â¢ Affiliates are strictly forbidden from re-broadcasting destination or private inquiries received from travelers via Rentalo.com by using their assigned affiliate program tracking URL provided by Rentalo.com. Ã¢Â€Â¢ Our destination inquiry service is constantly monitored (24 x 7) by our staff to prevent abuse from travelers, or affiliated owners. Click fraud activity will be severely discouraged and legal action will be taken if the affiliate is found liable. Ã¢Â€Â¢ Affiliates are fully responsible for complying to the terms and conditions from other websites providing leads or other travel related referrals (2) Refer an Owner Program: Each time a referral registers and pays for one or more subscriptions in our system using your assigned tracking code or URL, idev software will credit the 10% of the total transaction charges to our referral's account. Ã¢Â€Â¢ This will apply to all transactions paid by referrals during the first 6 months of subscription. Subscriptions paid after the first 6 months will not be credited to referrer account. Fees Payment Schedule Fees will be paid on a monthly basis. Conditions vary upon the program. Pay per Inquiry Program: Commission reports will be generated by the Idev Software. Payment will be done via PayPal every month. If the referral fees payable to the affiliate for any calendar month are less than $30 USD, Rentalo.com will hold those referral fees until the total amount due is at least $30 or (if either) until this agreement is terminated. Refer an Owner Program: Commission reports will be generated by the Idev Software. Payment will be done via PayPal every month. If the referral fees payable to the affiliate for any calendar month are less than $30 Rentalo.com will hold those referral fees until the total amount due is at least $30 or (if either) until this agreement is terminated. If for some reason a refund is granted to a customer, we will deduct the corresponding referral fee from your next monthly payment. If there is no subsequent payment, we will send you a bill for the referral fee. Responsibilities of Affiliate Affiliate is solely responsible for developing, operating and maintaining its own site. Affiliate assumes responsibility for the technical operation and related equipment of its own site. Affiliate is solely responsible for any and all materials (including their appropriateness and accuracy), sales, customer service and returns for its own site. Affiliate is solely responsible for ensuring that the materials posted on its site do not violate or infringe any third party's rights, including, but not limited to a third party's copyrights, trademarks, privacy or other personal or proprietary rights. Affiliate is solely responsible for ensuring that materials posted on its site are not libelous or otherwise illegal. Affiliate represents and warrants that it has the full right, title and authority to grant the rights and licenses granted herein. Further, affiliate will indemnify and hold Rentalo.com harmless from all claims, damages, and expenses (including, without limitation, attorneys' fees) relating to the development, operation, maintenance, and contents of AffiliateÃ¢Â€Â™s site. Limitation of Liability Rentalo.com will have no liability for any reason for the failure and/or unavailability of its Site or for the adequacy of performance of the Site. We will not be liable for any indirect, special or consequential damages, including, but not limited to loss of revenue, profits or data, arising out of the affiliate relationship developed from this Agreement. Further, our aggregate liability arising with respect to this agreement and the affiliate program will not exceed the total referral fees paid or payable to the affiliate under this agreement. Term of the Agreement The period during which this Agreement will be in effect begins upon our acceptance of you as an Affiliate and will end when terminated by either party. Either the affiliate or Rentalo.com may terminate this agreement at any time, with or without cause, by giving the other party written notice of termination. Upon the termination of this agreement for any reason, affiliate will immediately cease use of, and remove from affiliateÃ¢Â€Â™s site, all links to our site, and any Rentalo.com trademarks, logos, and all other materials provided by or on behalf of Rentalo.com to affiliate pursuant hereto or in connection with the affiliate program. Modification Rentalo.com remains the right to modify any of the terms and conditions contained in this agreement at any time and in our sole discretion by posting notice to all affiliate partners and by posting a change notice or a new agreement on our site. IF AT ANY TIME ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. YOUR CONTINUED AFFILIATION IN THE PROGRAM FOLLOWING OUR POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON OUR SITE WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE. Relationship of the Parties The parties of this Agreement are independent contractors. Nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative or employment relationship between the parties. Neither party has the authority to bind the other or incur any obligation on behalf of the other. Affiliate has no authority to make or accept any offers or representations on Rentalo.comÃ¢Â€Â™s behalf. Affiliate will not make any statement, whether on your site or otherwise that reasonably would contradict anything in this Section. Disclaimers: Rentalo.com makes no express or implied warranties or representations with respect to the affiliate program. In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors. Independent Investigtion: BY APPLYING FOR AFFILIATION WITH RENTALO.COM YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT. Governing Law This Agreement will be governed by the laws of the United States and the state of Florida, without reference to rules governing choice of laws. Any action relating to this agreement must be brought in the federal or state courts and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this agreement.
